引言我国的公司资本制度是八届人大常委会第五次会议于1993年12月29日通过的《中华人民共和国公司法》创建的。随着国际大市场的形成,国际经济一体化进程的加快,我国的公司资本制度面临着新的考验。在市场经济大潮中,在知识经济时代,在我国加入WTO后,我国现行的公司资本制度将何去何从?本文试图通过对西方国家公司资本制度演变发展过程的比较研究,在检讨我国现行公司资本制度的基础上,进一步探讨我国公司资本制度的改革方向。
Introduction The capital system of our company was created by the “Company Law of the People’s Republic of China” passed by the Fifth Session of the Standing Committee of the Eighth National People’s Congress on December 29, 1993. With the formation of the international market and the acceleration of the international economic integration, the corporate capital system of our country is facing a new test. In the market economy tide, in the era of knowledge economy, after China’s accession to the WTO, where is the current corporate capital system in our country going? This paper attempts to study the evolution of the capital system in Western countries through the comparative study of the evolution of the capital system in our country Based on the further exploration of the reform of corporate capital system in China.
