随着国有企业改革的不断推进和民营经济的持续发展,国家鼓励社会资本参与国家建设,共享改革发展红利。在这一大背景下,出于优化资源配置、促进房地产企业健康发展的目的,部分经营较好的民营房地产企业也开始与国有房地产企业进行兼并收购、合作开发。本文从企业兼并收购的视角对房地产企业所有制形式及特点、收购动因、如何收购及风险防范问题进行了深入研究。通过研究得出,民营房地产企业收购国有房地产企业要将两种不同体制的管理磨合,从尽职调查、签订合作协议、加强后续经营管理三个方面有效降低兼并收购风险。
With the continuous promotion of the reform of state-owned enterprises and the continuous development of the private economy, the state encourages social capital to participate in the construction of the country and share in the dividends for reform and development. Under this background, for the purpose of optimizing the allocation of resources and promoting the healthy development of real estate enterprises, some well-run private real estate enterprises also started mergers and acquisitions with state-owned real estate enterprises for cooperation and development. This article from the perspective of mergers and acquisitions of real estate enterprises in the ownership structure and characteristics, acquisition motivation, how to acquire and risk prevention conducted in-depth study. Through the research, it is concluded that the acquisition of state-owned real estate enterprises by private real estate enterprises should run the management of the two different systems and effectively reduce the risk of mergers and acquisitions from the aspects of due diligence, signing cooperation agreement and strengthening follow-up operation and management.
