Financial scandals have swept the world, legislation has lagged behind, and shareholders have protested: Everyone hopes that the company’s board of directors can improve its working methods. Kearney conducted a one-year corporate governance effectiveness survey for independent directors of Standard & Poor’s 500 companies. The 500 directors of the Standard & Poor’s 500 who participated in the survey represented more than 400 companies, ranging in size from less than US$1 billion to more than US$20 billion, involving many industries. They represent a balanced portfolio of state-owned companies, multinational corporations, and global corporations. The survey concluded that the board of directors as a shareholder representative needs to take action in five key areas to increase its effectiveness in overseeing company management.
