一、“中国公司之谜”及既有探讨公司制的诞生正是要解决社会发展的一大谜团:如何让一定数量的资本在有机整合与妥善运作中产生乘数效应。此等效应在公司的发源地业已显现。然而,亟待摆脱落后局面的中国在近代引入公司制以来,却多次遭遇适用困境,国人在没有弄清公司究竟为何物前即已被匆匆卷入新一轮的融资大潮中。反过来,这种行之匆匆的历程又使得公司制在中国场域下不可避免地出现水土不服。清末大臣薛福成慨叹“公司不举”①,中国公司制由此成谜。
First, the “mystery of Chinese companies” and the existing discussion on the birth of a company system are the major mysteries in social development: how to make a certain amount of capital produce a multiplier effect in organic integration and proper operation. These effects have emerged in the company’s place of origin. However, since the introduction of the corporate system in the modern era, China, which needs to get rid of its backwardness, has encountered many difficulties in its application. People of China have been rushed into a new round of financing without knowing exactly what the company is. In turn, this hurried journey made the company unavoidably acclimatized in China’s field. Xuefu Cheng, Minister of the late Qing Dynasty laments “The company does not cite ” ①, the Chinese company system thus became a mystery.
