一人公司经历了从否定到肯定的变革过程,现代各国立法逐渐趋向于有条件地肯定一人公司的合法地位,我国也不例外。本文试图从一人公司产生的成因、一些主要国家对一人公司的立法状况及我国新《公司法》对一人有限责任公司的相关规定来对我国的一人公司立法作些有益的探讨。
One-man companies have undergone a process of change from negation to affirmation. The legislation of various countries in the modern world has gradually tended to affirm the legal status of one-man companies conditionally, and our country is no exception. This article attempts to make some beneficial discussions on the legislation of one-man companies in our country from the causes of one-man companies, the legislative status of one-man companies in some major countries and the relevant regulations of one-person limited liability companies in China’s new “Company Law”.
