国内外学者就意思表示瑕疵理论进行研究的颇多,专家们在意思表示瑕疵理论研究方面也取得了较多的重要成果。我国正处于民法典构建的酝酿阶段,要将外国理论很好地运用到中国的立法中来,尚需进一步完善。所以在中国民法典呼之欲出的时候,再论中国意思表示瑕疵制度构建以及立法思量就愈加重要。本文通过浅议意思表示瑕疵的一些理论解释,对民法典的制定过程中的意思表示瑕疵制度提出一点浅显的看法。
Domestic and foreign scholars have expressed a lot of ideas on the theory of flaws, and experts have made more important achievements in the field of flaw theory. Our country is at the brewing stage of the construction of the Civil Code, and it is necessary to improve the foreign theory well into Chinese legislation. Therefore, when China’s civil code is almost ready, it is even more important to revisit the construction of China’s flaw system and legislative consideration. In this paper, we discuss some of the theoretical explanations of the flaws in terms of meaning and make some simple observations on the flaw system in the process of making the civil code.
