有限合伙制来源于古老的康孟达契约。随着科技的进步、经济的发展和风险投资行业的崛起,有限合伙制因其自身特点逐渐成为风险投资行业重要的组织模式之一。近几年来,我国风险投资基金蔚然成荫,天津市滨海新区更是风险投资集中地区和大力推动金融改革创新的先行试点。通过对有限合伙制度的发展过程以及其目前发展状况的了解,进而分析有限合伙制在我国实行的必要性和可行性。在此基础上,立足于天津市滨海新区的实际情况,提出有限合伙制进一步发展的障碍和立法建议。
The limited partnership comes from the ancient Comeda contract. With the progress of science and technology, economic development and the rise of venture capital industry, limited partnership has become one of the most important organizational modes in venture capital industry due to its own characteristics. In recent years, China’s venture capital fund has become a natural way. Binhai New Area in Tianjin is even more a pilot area where venture capital is concentrated and vigorously promote financial reform and innovation. Through the understanding of the development of the limited partnership system and its current development, the necessity and feasibility of the limited partnership in our country are analyzed. On this basis, based on the actual situation of Binhai New Area in Tianjin, this paper puts forward the obstacles and legislative suggestions for the further development of limited partnership.
