本文首先从限制性股票的基本理论问题出发,以光明乳业实施的限制性股票激励方式为例,结合其限制性股票激励方式的产生背景、主要内容和实施效果分析,从而进一步重点分析上市公司选择限制性股票的动因、条件及影响实施效果的因素等问题,并提出相应的对策建议,为改善我国公司股权激励制度的有效性提供借鉴。
This article starts with the basic theory of restricted stocks, taking the restricted stock incentive method implemented by Guangming Dairy as an example. Combining with the background, main content and implementation effect of restricted stock incentive method, this article further analyzes the choice of listed company Motivation and conditions of restricted stock and the factors that affect the effect of implementation, and put forward corresponding countermeasures and suggestions to provide reference for the improvement of the effectiveness of the company’s equity incentive system in our country.
