本文首先分析了中山集团模式的结构特点和运行特征;进而从微观和宏观经济两个方面,结合改革和发展两个问题,阐述了中山集团模式的现实意义;最后,探讨了此种集团模式的发展前景及完善条件。作者认为,在我国,虽然企业集团的形成要建立在各企业自愿联合的基础上,但考虑到目前市场体系尚不完善、企业本身重组动力不足等因素,企业集团的巩固和完善在很大程度上还需要政府的扶持。只要双轨制还存在,可考虑将计划轨转向集团,即把计划内资金、物资和原材料供给的主渠道直接通向集团企业。同时,可由集团代理国有资产,成员企业代理自我积累的财产,在集团内构成明晰的两级法人关系。
This article first analyzes the structural features and operational characteristics of the Zhongshan Group model; then from the micro and macroeconomic aspects, combining the two issues of reform and development, it expounds the practical significance of the Zhongshan Group model; finally, it discusses the Development prospects and improvement conditions. The author believes that in China, although the formation of enterprise groups must be based on the voluntary association of all companies, considering the current imperfect market system and the lack of reorganization power of the enterprise itself, the consolidation and improvement of enterprise groups is to a large extent. There is also a need for government support. As long as the dual-track system still exists, consideration may be given to shifting the planning track to the group, which means that the main channel for the supply of funds, materials, and raw materials within the plan will be directly linked to the group companies. At the same time, the group may represent state-owned assets, and member companies may act as agents for self-accumulation of assets, which constitutes a clear two-level legal person relationship within the group.
