在集成创新的过程中,创新主体往往会在引进技术的基础上与技术提供者合作创新。在合作关系能够降低创新成本的背景下,研究了从创新主体利益最大化的角度出发,在考虑存在逆向选择问题影响时,应如何设计合作契约中的利益分配和责任划分条款。分析结果表明,为防范技术提供者的逆向选择问题,被转移技术越先进,技术提供者在合作中应承担的责任越大,并且与没有逆向选择问题相比,技术提供者在合作中承担的责任份额降低,同时创新主体获得的收益也降低。
In the process of integrated innovation, the subject of innovation often innovates with the technology provider on the basis of introducing the technology. Under the background that cooperative relationship can reduce the innovation cost, this paper studies how to design the profit distribution and division of responsibility in the contract of cooperation when considering the impact of the adverse selection problem from the perspective of maximizing the interests of the innovating subject. The results show that in order to prevent the reverse selection problem of technology providers, the more advanced technology is transferred, the greater the responsibility of technology providers in cooperation and the greater the commitment of technology providers in cooperation than the problem of no adverse selection Reduce the share of responsibility, at the same time, the income gained by the innovation subject is also reduced.
