高鸿业教授在《内部文稿》1995年第3期发表的《再论提高我国国有大中型企业经济效益的关键》一文中提出,通过妥善解决所有者与代理人之间的利益矛盾来搞好国有大中型企业。此思路简洁明确,避免了在产权问题上的纠缠不休,令人耳目一新。但是,笔者感到高文观点尚有欠缺和未充分论证之处。下面笔者就此提出几点个人看法。一、什么是所有者与代理人之间的关系?高文认为所有者与代理人之间利益分歧普遍存在,构成所代关系的主要内容。但我认为规范的所代关系是一种对立统一关系。其主要内容和质的规定性是所有者与代理人的利益统一,而不是其利益分歧。

But I think that the generational relationship of norms is a unity of opposites. Its main content and quality are regulated by the interests of the owner and the agent, not their interests.
