从法和经济学的视角考察中小型国有企业的股份合作制制度变迁的规则和绩效,发现股份合作制具有内在的不稳定性,二次改制几乎是必然。因为股份合作制产权制度以及公司治理结构存在一定的缺陷,这是中小型国有企业股份合作制改革处于困境并进而分化的原因所在。因此在实践中,国有中小型企业将放弃股份合作制,会更有效地选择股份有限公司、有限责任公司、私营企业,或者合伙企业等企业组织形式。
From the perspective of law and economics, this paper examines the rules and performance of small and medium-sized state-owned enterprises in the changes of the system of shareholding cooperation and finds that the system of shareholding has inherent instability. The second reform is almost inevitable. Because the system of joint-stock cooperative ownership and the corporate governance structure have some defects, this is the reason why the reform of the joint-stock cooperative system of small and medium-sized state-owned enterprises is in trouble and then divides. In practice, therefore, the state-owned small and medium-sized enterprises will abandon the joint-stock cooperative system and will be able to choose more effective organizational forms such as limited liability companies, limited liability companies, private-owned enterprises or partnerships.
