在破产法的发展中,美国《破产法》第十一章所建立的破产重整制度对许多国家的立法而言具有指导意义。破产重整中,债权人与公司股东等在法院的监督下通过某种结构调整而继续公司业务,在这一制度中各方都必须同意对于原来的权利安排调整为一种新的权利。由于破产重整制度的引入,使得破产制度表现出一种更为强烈的拯救制度的特点。
In the development of the bankruptcy law, the bankruptcy reorganization system established in Chapter 11 of the Bankruptcy Law in the United States is instructive for the legislation of many countries. In bankruptcy and reorganization, creditors and shareholders of the company continue their businesses through some kind of structural adjustment under the supervision of the courts. All parties in this system must agree to adjust the original rights arrangement as a new right. Due to the introduction of the bankruptcy reorganization system, the bankruptcy system shows a stronger characteristic of the rescue system.
