公司中的隐名投资涉及到诸多法律问题,包括隐名投资人与显名投资人相互间的权利义务、隐名投资人和显名投资人与公司以及第三人的法律关系等。由于我国至今未有相关的立法和司法解释,因而对于其法律问题的处理,认识不一,判决各异。本文作者在首先界定了隐名投资的概念、特征及类型后,对其存在的问题,以及对其的法律分析,最后对规范公司的隐名投资提出若干建议。
Anonymous investment in the company involves many legal issues, including the rights and obligations of the anonymous investor and the named investor, the legal relationship between the anonymous investor and the named investor and the company and a third party. Due to the fact that there is no relevant legislative and judicial interpretation in our country so far, the handling of its legal issues is not identical and the verdicts are different. After defining the concept, characteristics and types of dormant investment firstly, the author of this article analyzes the existing problems and the legal analysis of it, and finally puts forward some suggestions to standardize the dormant investment of the company.
