“股份合作企业”被许多人称作“一种新型的企业制度”、“具有中国特色的社会主义企业制度”。有些人主张作为一种公司制度在“公司法”中专门设一章加以规范的调整,甚至还提出要为它专门制订一个法。“股份合作企业”在各方面的倡导和支持下发展很快,而且开始由农村进入了城市。 “股份合作企业”最早兴起于温州。我多次在温州,了解到一些情况。我自然就认为,“股份合作企业”不是也不能成为一种规范的企业制度。1991年夏,在温州召开了一个专门研讨“农村股份合作企业”的会,我利用此机会对一些“股份合作企业”作了实地调查。调查者更坚信原有的看法。会后《瞭望》约我就这种企业制度写一短稿,发表于1991年第38期。在此文中我讲得比较含蓄。之后,我们关注着“股份合作企业”,最近到深圳参加有关的研讨会,我看了会议的材料,进一步了解到一些情况。现在,我想展开地谈谈自己的看法。
“Shareholding cooperative enterprises” are referred to by many as “a new type of corporate system” and “a socialist enterprise system with Chinese characteristics.” Some people advocate that as a company system, there is a chapter in the “Company Law” that specifically regulates the adjustment. It even proposes that a law be specifically formulated for it. “Share-based cooperative enterprises” have developed rapidly under the advocacy and support of various parties, and have begun to enter the cities from rural areas. “Stock Cooperative Enterprises” first emerged in Wenzhou. I have learned several times in Wenzhou. I naturally believe that “stock cooperative enterprises” cannot and cannot become a normative corporate system. In the summer of 1991, a meeting was held in Wenzhou to discuss “agricultural joint-stock cooperative enterprises.” I took this opportunity to conduct field investigations on some “stock cooperative enterprises.” The investigators are more convinced of the original view. After the meeting, “Looking Hope” asked me to write a short version of this corporate system, which was published in the 38th issue of 1991. In this article I speak more subtle. Afterwards, we paid attention to the “stock cooperative company” and recently went to Shenzhen to attend related seminars. I read the materials of the meeting and learned more about the situation. Now, I want to talk about my own opinion.
