一 法人企业的由来和特征 法人企业是与自然人企业相对而言的。世界上最先出现的企业,是由一个人出资并由一个人控制的“独资企业”,后来发展到由若干人共同出资并共同控制的“合伙企业”,再后才出现了股份有限公司和有限责任公司。独资企业和合伙企业被概括称为自然人企业,也可以叫做非法人企业;股份有限公司和有限责任公司,则被概括称为法人企业,我国也叫做股份制企业。
