股份制试点工作在我国正显露出方兴未艾之势。几年来的实践证明,股份制改造有利于明确产权关系,有利于建立符合市场经济要求的企业内部经营机制和分配机制。通过股份制改造,使国有企业走上自主经营、自负盈亏、自我发展、自我约束的轨道。因此,扩大股份制试点仍是以后几年内我国经济领域一项极其重要的工作,客观上需要制定法律代替现有的《规范意见》作为股份改造的规范,更明确地划分各方责、权、利,保护投资者利益。
