目前国有股减持的主要方式去年以来,我国在国有股减持方面,选择了中国嘉陵和黔轮胎进行国有股配售试点,云天化、申能正在分别着手和已完成国有股回购方案。此外,原来证券市场上的协议转让也是国有股减持的一种方式。因此,国有股权的协议转让、国有股回购、国有股配售是我国目前国有股减持的三种主要方式。场外协议转让国有股,是上市公司国有股股东减持国有股最早采用、也是最常采用的方式。协议转让的主要优点:1、遵循市场原则,股权的转让价格基本是买卖双方都愿意接受的市场价格,且大多以净资产值作为计算基数;2、通过资产重组改进了上市公司业绩;3、对二级市场不造成直接冲击。
