当今企业制度中,企业的经营权与所有权形成了“两权分离”的状态,委托人为了防止代理人损害自己的利益,就需严密监督且限制代理人的行为[1]。因此,管理层股权激励已成为当今企业管理层管理的一项长期激励机制。光明乳业是国有企业中首个推行股权激励的公司.本文通过对光明乳业管理层股权激励的实践研究与效果分析,结合国有上市公司管理层股权激励相关问题综合分析,最后总结提出了进一步优化光明乳业管理层股权激励的可行性建议。
In today’s enterprise system, the management rights and ownership of the enterprise form a state of “separation of two rights”. In order to prevent the agent from damaging his own interests, the principal needs to closely monitor and limit the agent’s behavior [1]. As a result, management equity incentives have become a long-term incentive mechanism managed by today’s corporate management. Guangming Dairy is the first company in state-owned enterprises to implement equity incentive.In this paper, through a comprehensive analysis of the management practices of equity incentive of Guangming Dairy Co., Ltd and the analysis of the related issues of the management equity incentive of state-owned listed companies, Feasibility of Dairy Management Equity Incentives.
