高管异常私有收益是所有权与控制权相分离后,有限理性的企业高管源于最大化自身效用动机进行权力寻租的产物(Jensen和Meckling,1976),是企业高管利用公共或组织资源为个人谋求不正当利益的一种腐败行为。相对于非制度化路径而言,制度化路径的实施将导致高管权力寻租行为蔓延程度升级,企业制度公正水平基线降低,高管不良行为难以遏制等更为严重的后果。需要以非制度化路径的立体治理网络为基础,进一步构建和完善预防、探查和遏制高管以制度化路径获取异常私有收益行为的治理机制。
Executive abnormal private benefits are the result of separation of ownership and control, limited-rational corporate executives derive from the power to rent to maximize their own utility motivation (Jensen and Meckling, 1976), is the use of public or organizational resources by senior corporate executives. A corrupt behavior that seeks improper interests for individuals. Compared with the non-institutionalization path, the implementation of the institutionalized path will lead to the escalation of the extent of executive power rent-seeking behavior, the reduction of the baseline level of enterprise justice, and the more serious consequences of the unhealthy behavior of senior executives. Based on the three-dimensional governance network of non-institutionalized paths, it is necessary to further construct and improve governance mechanisms that prevent, detect, and contain executives’ behaviors of obtaining anomalous private benefits through institutionalized paths.
