健全公司法人治理结构是公司改革的热点问题,涉及到公司的股东及相关利益人利益能否实现和公司能否正常运作,有重大的理论与实践意义。在经济一体化的过程中,国家民族的界限会被打破,公司作为主要的经济主体,其作用将越来越大,公司将左右我们的一切。在我国市场机制尚不完善,公司制的实践时间短,存在的问题还很多的情况下,所有权的高度分散使得雇佣者的地位提高了,企业家与职业经理人的分工越来越明显,如果弄不清楚公司内部的治理结构,有效的公司治理机制就无从谈起。
