2005年10月27日,十届全国人大常委会审议通过了《中华人民共和国公司法(修订)》,修订后的公司法体现出众多特点,如充实了完善公司治理结构,保护中小投资者权益和债权人权益等较多的内容,为资本市场制度性建设提供坚实的法律依据。新公司法虽比旧公司法减少11条,但却以维护股东合法权益和客户资产安全为重点,这一点必然引起我们的注意。
On October 27, 2005, the Tenth NPC Standing Committee examined and adopted the “Company Law (Amendment) of the People’s Republic of China,” and the amended company law reflects many characteristics such as fulfilling the corporate governance structure and protecting the rights and interests of small and medium-sized investors And creditor’s rights and other more content for the institutional construction of the capital market to provide a solid legal basis. The new company law, though it is 11 less than the old company law, focuses on safeguarding the legitimate rights and interests of shareholders and the safety of clients’ assets. This certainly invites our attention.
