我国公司现行监事会制度主要存在监事会缺乏必要的独立性、监事素质普遍较低、监事会或监事职权不全、缺乏必要的激励和约束机制等问题。为了充分发挥监事会的职能,必须准确界定监事会的地位、职权与作用,明确监事任职资格,培养和建立一个完善的监事市场,逐步实现监事的职业化。
The existing supervisory board system in our country mainly includes the lack of necessary independence of the supervisory board, the generally low quality of the supervisors, the insufficiency of powers of the board of supervisors or the supervisors, and the lack of necessary incentive and restraint mechanisms.
