经营者集中单边效果的分析一直是反垄断法分析的难点。美国和欧盟的指南中,单边效果考察方法的分析核心是“集中是否产生或者加强了市场支配地位”。单边效果考察的一般分析方法,是对单边效果进行前置性步骤考察,并分析合并企业的总体市场规模、支配地位的抵消因素、买方的对抗力量。我国当前立法对单边效果也有涉及,对这些规范的理解和分析,应当在单边效果一般分析方法的框架下进行,这样才能在理论和实践中更好地评估经营者集中产生的单边效果。
The unilateral analysis of the concentration of operators has always been a difficult point in antitrust law analysis. In the guidelines of the United States and the EU, the core of the analysis of unilateral effects inspection methods is whether the concentration generates or strengthens the market dominance. The general analysis of unilateral effects is based on the examination of the precautionary steps of unilateral effects and the analysis of the overall market size of the combined enterprise, the offsetting factors of dominance, and the buyer’s resistance. The current legislation of our country also involves unilateral effects. Understanding and analyzing these norms should be conducted within the framework of the general analysis method of unilateral effects, so as to better evaluate the unilateral effects brought by the operators in theory and practice .
