外资并购有利于促进国内企业形成规范的法人治理结构,引进先进技术和管理,推动中国产品结构和产业结构的调整与升级,扩大出口。但同时要看到,外资并购的出发点不是帮助国有企业脱困和转制,也不是为了提升中国企业的竞争力和完善市场经济运行机制,而是为了现在和将来的利润最大化。“天下没有免费的午餐”,利用外资是有代价的,因此,在外资并购中要防止可能出现的负面效应。
