我国公司法对公司的法律地位、公司的组织形式和运作方式都规定了基本原则。学习公司法,必须学习和掌握这些基本原则。具体讲,这些基本原则主要有:(一)公司须为法人的原则。公司法第三条规定,有限责任公司和股份有限公司是企业法人。这就是说,公司应当为法人是公司法的一项基本原则。公司须为法人的原则,包括以下内容:一是设立公司必须符合设立公司的基本条件。二是必须符合民法通则关于法人的基本规定。就是说必须是具有民事权利能力和民事行为能力的依法独立享有民事权利和民事义务的组
