本文认为，为了充分发挥国有独资公司在社会主义市场经济中的重要作用，必须建立和完善以国资委一董事会一监事会一总经理为中心的公司法人治理结构。一方面，要重塑国贸委作为国有资产产权代表的形象，通过批准和罢免董事会成员、提名并组建监事会等实际的权利加强对公司的监督；另一方面通过加强银行等金融机构在治理结构中的功能和作用，调动和发挥其监督的利益动机和积极性，从体制上为保证国有资产的保值增值创造条件。
This paper argues that in order to give full play to the important role of wholly state-owned companies in the socialist market economy, it is necessary to establish and perfect a corporate governance structure centered on a general manager of a board of directors and a supervisory board of SASAC.
