随着基金会的快速发展及其对现代公共生活影响力的逐步扩大,关于此类组织如何通过完善理事会治理结构践行公共责任的讨论逐渐增多。尽管当下中国法律从多个方面对基金会理事会治理进行了规范,但诸多影响理事会有效履行其治理职责的阻滞性因素依然存在。为促进基金会公共责任的实现,未来的政策选择主要包括强化信息沟通机制和理事补偿机制建设、加强理事会监督权,以及完善业务主管单位与理事会间的职权配置。
With the rapid development of foundations and their growing influence on modern public life, there has been a growing discussion of how such organizations can exercise public responsibility by improving the governing structure of the council. Although the current Chinese law regulates the governing of the board of directors in many aspects, many of the blocking factors that affect the effective performance of the governing board by the board still exist. In order to promote the realization of the foundation’s public responsibility, the future policy choices mainly include strengthening the mechanism of information communication and director compensation, strengthening the supervisory power of the council, and improving the allocation of powers and responsibilities between the supervisory unit and the council.
