体改委、计委、财政部、国资局文件(89)体改经38号1989年2月19日起施行《关于企业兼并的暂行办法》二、企业兼并的原则:(一)企业兼并要以经济发展战略和产业政策为指导,使资产存量向需要发展的重点产业、新兴产业和生产短线产品的企业流动。(三)企业兼并要注重实效,其衡量标准是优化产业结构、产品结构和企业组织结构。(六)商业企业的兼并,不仅要考虑经济效益,还要考虑方便人民生活。一些经营蔬菜、小百货和从事其他生活服务的小型商业、服务业门店,在兼并时应统筹考虑经营范围和经营方向。
The Economic Reform Commission, the Planning Commission, the Ministry of Finance, and the State Assets and Authority Bureau (89) Reforms implemented on February 18, 1989, the “Interim Measures for Mergers and Acquisitions of Enterprises”. II. The Principles for Merger of Enterprises: (1) Mergers and Acquisitions of Enterprises With the guidance of economic development strategies and industrial policies, the stock of assets will flow to key industries that need to be developed, emerging industries, and companies that produce short-term products. (3) Mergers and acquisitions must focus on actual results. The measurement standard is to optimize the industrial structure, product structure and organizational structure of the enterprise. (6) Mergers of commercial enterprises must not only consider economic benefits, but also consider the convenience of people’s lives. Some small-scale commercial and service stores that deal in vegetables, small department stores, and other life services should consider the scope of business and the direction of business when making mergers.
