当前国际经济合同中形成了一种新的作法,即在长期合同中加入了,“阻难”条款。这一条款规定,当发生阻难时,当事人一方有权要求修改合同。以维护当事人的合法权益。这一条款大致包括: 一、确定阻难条款的含义、范围以及对阻难是否已经产生的推断阻难应符合下列准则:①新出现的情况须为当事人无法控制的;②当事人自己失误所造成的情况不能视为阻难;③新情况须出于当事人意料之外;④新情况须与当事人缔结合同时的情况根本不同。由于“阻难”与“不可抗力”二者的含义相近,因而在合同中明确二者的区别,并给予“阻难”以结论性的涵义。
