今年六月一日开始实施的新破产法弥补了《中华人民共和国企业破产法(试行)》中相当多的不足,但我认为她只是“半部”破产法。因为在新破产法中没有对国际破产法律适用问题进行详细的探讨,仅在第五条表明在破产的域外效力方面采取普遍主义与地域主义的折衷态度,有限承认了外国法下破产境内的效力问题,而对于破产中的诸多问题没有涉及。本文仅依据民法(草案)第九编涉外民事关系的法律适用法以及中国国际私法研究会起草的《中华人民共和国国际私法示范法》第六稿中有关破产的二个方面进行不成熟的探讨。
The new bankruptcy law, which came into force on June 1 this year, made up for quite a few deficiencies in the “Enterprise Bankruptcy Law of the People’s Republic of China (Provisional)”, but I think she is only a “half” bankruptcy law. Because the issue of the application of international insolvency law is not dealt with in detail in the new bankruptcy law, the validity of insolvency in foreign law has been limited by Article E only on the eclectic attitude of universalism and territorialism in the extraterritorial effects of bankruptcy Problems, but not for many problems in bankruptcy. This essay deals with the immature discussions on the two aspects of bankruptcy based solely on the law applicable to the Ninth Civil Code of Civil Law (Draft) and the sixth draft of the “Private Law Model of the Private Law of the People’s Republic of China” drafted by the China Private International Law Association.
