经济合同是一种民事行为,必须具备民事行为有效的四个条件:即主体的法定性,内容的合法性,当事人意向表示的真实性,以及合同条款的完整性。如果缺少这些条件之一则合同无效。为了签订好经济合同,避免不必要的纠纷和损失,笔者认为签订经济合同应注意把好“十关”。①缔约双方必须具有法人资格,能依法独立支配和管理财产,享有民事权利和承担民事义务。②经营范围必须经主管部门批准工商行政管理部门同意,不得跨越范围,不能违反法律和政策以及社会公共利益,不能违反货币、金融、外汇、市场管理的有关规定。③双方必须贯彻平等互利、协商一致、等价有偿的原则,不得采取欺诈、胁迫或其他非法手段。④双
