公司人格独立与有限责任原则是传统公司法的基本制度。在现代国际社会经济生活中 ,随着国内企业集团的发展 ,跨国公司已成为现代国际社会经济中极为重要的角色 ,它所引出的有关法律问题也引起了世人的关注。传统公司法不能适应跨国公司及国内企业集团等新兴的经济现象 ,一方面根源于传统公司所赖依存的社会基础的特质 ,另一方面则与跨国公司的自身特质有关。本文拟对公司人格独立与有限责任原则面临跨国公司冲击的若干问题作一探讨
The company’s personality independence and the principle of limited liability are the basic rules of the traditional company law. In the economic life of the modern international community, with the development of domestic enterprise groups, multinational corporations have become an extremely important part in the economy of the modern international community. The related legal issues emanating from it have aroused people’s attention. The traditional corporate law can not adapt to the emerging economic phenomena such as transnational corporations and domestic enterprise groups. On the one hand, it is rooted in the characteristics of the social foundation on which traditional companies rely and on the other hand, it is related to the traits of transnational corporations. This article intends to discuss some issues that the corporation’s personality independence and limited liability are facing the impact of multinational corporations
