私募发行是证券发行的主要方式之一,其最主要的特点在于注册豁免,目的是在保护投资者利益的同时使筹资更加便利。本文仅就我国《公司法》和《证券法》的相关规定,从审批程序、发行对象、发行方式、信息披露、私募股份的流通性等方面对我国证券私募发行的监管制度作相关论述。
Private placement is one of the main ways of securities issuance. The most important characteristic of private placement is registration exemption. The purpose is to make fund raising more convenient while protecting the interests of investors. This article only discusses the regulatory system of China’s private placement of securities from the aspects of examination and approval procedures, issue objects, distribution methods, information disclosure and the liquidity of private equity in accordance with the relevant provisions of the Company Law and the Securities Law of the People’s Republic of China.
