Article 2 Where an enterprise legal person can not pay off its debts as it falls due and the assets are not sufficient to pay off all debts or apparently lack the solvency ability, the debts shall be liquidated in accordance with the provisions of this Law. Where an enterprise legal person has any of the circumstances as prescribed in the preceding paragraph or has the obvious possibility of losing its liquidity, it may reorganize in accordance with the provisions of this Law.
