股份公司作为一个法人,以取得营业执照为其生命的开始。创办股份公司需确定发起人、制订公司章程、进行公司注册、向社会公众公开募款并明确股东的权利等。英国为规范股份公司创立活动,在《公司法》中对上述内容都作了明确的规定。借鉴英国股份公司创立经验,对于规范我国股份公司创立并尽快制订中国特色的《公司法》是十分有益的。
