上市公司独立董事是指不在公司担任除董事之外的其他职务,并与其所受聘的上市公司及其主要股东不存在可能妨碍其进行独立客观判断的关系的董事。在国外,独立董事由与公司无关联的企业董事及高级管理人、退休政府官员、教授、经济学家、行业专家、律师、注册会计师等社会上有地位、有知名度和美誉度的人担任。独立董事的根本特征就是“独立性”。
An independent director of a listed company refers to a director who does not hold other positions than a director in the company and has no relationship with the listed company and its major shareholders who may be hindering him from making independent and objective judgments.
