公司制度在西方国家的发展有其深刻的文化根源。但是在我国,由于历史惯性的推动,对公司制度的移植并未充分考虑本土文化,而官本位思想和面子文化的盛行,使国有企业在实行公司制的过程中发生了异化现象。因此,对国有公司内部治理存在的问题进行分析,使之能够充分利用市场机制和利益冲突机制最大限度地保证选出最优秀的治理者和最优的决策,成为时下需要关注和解决的问题。
The development of the company system in Western countries has its own profound cultural roots. However, in our country, due to the historical inertia, the transplanting of company system has not fully considered the local culture. However, the official-oriented thought and the prevalence of the face culture make the state-owned enterprises alienation in the process of implementing the company system. Therefore, the analysis of the problems existing in the internal governance of state-owned companies so that they can make full use of the market mechanism and the conflict of interest mechanism to ensure the best selection of the best managers and the optimal decision-making becomes the issue that needs attention and resolution nowadays.
