随着公司制的建立和完善,原公司法中控股股东义务的缺失所带来的弊端日益显现。控股股东滥用控制权,给其他中小股东和公司造成损害的现象也经常发生。对控股股东的行为加以义务上的约束显得尤为必要。而控股股东尊重公司独立人格是一项比较被容易忽视的义务,在此特别加以分析。
With the establishment and improvement of the company system, the drawbacks caused by the lack of the obligation of the controlling shareholder in the original company law have become increasingly apparent. Control shareholders abuse of control, to other small and medium-sized shareholders and the damage caused by the company also occur. The controlling shareholder’s behavior to be bound by the obligations seem particularly necessary. The controlling shareholders respect the company’s independent personality is a relatively easy to ignore obligations, in this particular analysis.
