根本违约制度规定了解除合同所适用的条件,从英国法发展而来并得到不断的构建与解释。本文通过根本违约制度的发展历程从不同立法角度介绍根本违约的构成要件,并对《联合国国际货物销售合同公约》中的根本违约制度做详细论证,阐明其适用标准。
The fundamental breach of contract regulates the conditions under which the contract is to be applied and has evolved from the English law and has been continuously constructed and interpreted. This article introduces the constitutional elements of the fundamental breach of contract from different legislative perspectives through the course of the development of the fundamental breach of contract system. It also elaborates the fundamental breach of contract system in the UN Convention on Contracts for the International Sales of Goods and expounds the applicable standards.
