在当前投资自由化的背景下,我国外资并购浪潮一波接一波越演越烈。跨国并购正成为国际直接投资的主要方式。外国直接投资对我国经济发展具有举足轻重的作用,但这种以跨国并购方式引进的外资可以使我国市场机制失灵,造成的消极作用也在不断地扩大和加强。本文通过对这些消极影响的分析,提出对外资并购规制的建议措施。
Against the backdrop of current investment liberalization, the tide of foreign capital mergers and acquisitions in our country has become more and more intense. Cross-border M & A is becoming the main method of international direct investment. Foreign direct investment plays an important role in the economic development of our country. However, the foreign investment introduced by means of cross-border M & A can cause the failure of the market mechanism in our country and the negative effects caused by it are also constantly expanding and strengthening. Based on the analysis of these negative effects, this paper puts forward some suggestions on the regulation of foreign capital M & A.
