Foreign acquisitions of U.S.businesses are subject to review by the Committee on Foreign Investment in the United States (CFIUS) for national security implications.CFIUS interprets"national security"broadly.In September 2012,President Obama,acting on the recommendation of CFIUS,determined that national security interests warranted blocking Chinese-owned Rails Corporations acquisition of wind farm projects in Oregon,and ordered the company to remove all property and installations and divest all interest in the projects.In light of the Presidents actions,it appears that"national security"may be a greater risk to renewable energy transactions than previously understood.Chinese investors should be prepared for national security reviews and should carefully consider whether CFIUS clearance should be a condition to closing U.S.solar and other renewable energy development transactions.
